Dell’s Guess to Win Contest
Rules and Regulations

1. Residents of Canada (excluding Quebec) who have reached the age of 13 or older at the time of entry may enter, except employees (or their immediate family) of Dell Canada Inc. (“Dell”), Launchfire Interactive Inc. (“Launchfire”), or Intel Corporation (“Intel”) and their affiliates.

2. No purchase necessary to enter. Contest commences on August 9, 2007 at 1:00 p.m. EST and closes on October 11, 2007 at 4:59 p.m. EST (the “Contest Period”).

3. To enter, go to www.winwithdell.com (the “site”) and locate the “Play Now” or “Sign Up” links. Click on the “Register” link and enter name, province of residence, telephone number, email address, username and password and click “Submit”. This entitles the user to one play. One play = 1 guess of how many gumballs are in the “virtual gumball machine”. Users can earn additional plays by:

• a) Returning to the site daily and logging in (1 extra play per day, excluding the day they register to a maximum of 63 plays).
  
  b) Opting-in to the Dell e-mail (1 additional plays)
  
  c) Opting-in to Dell SMS (1 additional play)
  
  d) Opting-in to the Intel e-mail (1 additional plays)
  
  e) In addition, you will receive extra chances to win for directing third parties to the Site via your personal web link. To retrieve your personal web link, click on the “Invite a Friend” link and locate the personal web link or personal banner on this page. The distribution of your personal web link is at your discretion, subject to the following: Dell reserves the right to cancel and void any Personal Link and all associated Plays which it deems, in its sole discretion to be used or associated with content which is deemed inappropriate. Without limiting the foregoing, such content includes all forms of pornography, inappropriate language and content that incites hate, is demeaning, depreciates the value of the Dell name, brand, products or trademarks, or incites discrimination of any and all forms. By way of example, you may wish to post your link on instant messenger, blogs, message boards and personal web pages or in emails.

4. The prizes will consist of 6 Inspiron™ Core 2 Duo notebooks, with an approximate value of $1200 each.

5. Prizes will be awarded as follows:

a) 3 notebooks will be awarded to participants who correctly identify the number of gumballs in the virtual gumball machine, as follows:

• i) One notebook will be awarded to each of the 3 people who correctly identified the number of gumballs in the “virtual gumball machine”.
  
  ii) In the event that more than 3 people correctly identified the number of gumballs, a random draw will be made from all the correct entries.
  
  iii) In the event that less than 3 people correctly identified the number of gumballs, the 3 people who were closest without going over will be considered winners.

b) 3 notebooks will be awarded to participants who incite a winner of the correct # of gumballs to register through their personal link, as follows:

• i) Each person who directed one of the 3 winners identified in subsection (a) to the site when they registered, will also win a notebook.
  
  ii) For any of the 3 winners who correctly identified the number of gumballs above, but who did not register after being directed by a personal link (e.g. registered for the Contest directly without being referred by another participant), the additional notebook will be awarded based on a random draw of all the players who had at least one friend register using their personal link.

The prizes winners will be determined on October 15, 2007 at the office of Launchfire, 1547 Chatelain Avenue, Ottawa, Ontario K1Z 8B6. Chances of winning any prize will depend upon the number of valid entries received.
Prizes must be accepted as awarded. Dell reserves the right to substitute prizes of approximately equal value for the prizes listed above and reserves the right to terminate or withdraw this contest at any time, without prior notice.
6. After the determination of the eligible winners, the selected entrants will be notified by telephone.In order to win, selected entrants must correctly answer, unaided, a mathematical, time-limited, skill testing question. In the event that a selected entrant is unable to answer the question, cannot be reached within five (5) days of the relevant draw date or otherwise does not meet all contest conditions, his/her prize will be forfeited and Dell will draw another entry from the remaining entries.

7. All entries shall become the property of Dell. Dell is not responsible for (i) lost, misdirected, delayed, destroyed, illegible, incomplete or otherwise improperly completed entries or (ii) the loss, theft or misuse of any prize. Dell is not responsible for any problems resulting from mechanical error, including, but not limited to, prizes awarded or not awarded due to computer error or failed network connection, however caused. Any attempt to deliberately damage any website or to undermine the legitimate operation of the promotion is a violation of criminal and civil laws and should such an attempt be made, Dell reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. Entries are subject to verification and will be declared invalid if illegible, mechanically reproduced, forged, falsified, altered or tampered with in any way.

8. Winners will be required to sign a declaration and release form confirming acceptance of the prize as awarded and releasing Dell and its affiliates from any liability relating to their prize. By entering this contest, entrants consent to the use of their names, photographs and/or likeness for publicity purposes in connection with this contest without further compensation. In the event that the winner is under the age of majority in their province of residence, their parent or legal guardian will be required to sign the declaration and release on their behalf.
